These Terms of Service ("Terms") govern your access to and use of the BearIQS website, mobile application, and related services (collectively, the "Services") operated by Max Min Ventures LLC, doing business as BearIQS ("we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services. By using the Services, you represent and warrant that you meet this requirement.
To access certain features, you must create an account. You agree to provide accurate, current, and complete information and to keep your account credentials secure. You are responsible for all activity that occurs under your account. We may suspend or terminate accounts that violate these Terms.
You agree not to: (a) use the Services for any unlawful purpose; (b) attempt to gain unauthorized access to the Services or any related systems; (c) interfere with or disrupt the integrity or performance of the Services; (d) reverse engineer or extract source code from the Services; (e) use the Services to transmit harmful code, spam, or other malicious content; or (f) resell, redistribute, or commercially exploit the Services without our written permission.
Certain features of the Services require a paid subscription. Payments are processed by Stripe. Subscriptions automatically renew unless you cancel before the end of the current billing period. Fees are non-refundable except as required by law or as expressly stated by us.
BearIQS provides market data, analytics, and educational information about publicly traded securities. The Services do not constitute investment, financial, legal, tax, or other professional advice, and no content offered through the Services should be construed as a recommendation to buy, sell, or hold any security. You are solely responsible for your own investment decisions. Past performance is not indicative of future results. Consult a qualified professional before making financial decisions.
The Services and all content, features, and functionality (including software, text, displays, images, and the design of the Services) are owned by Max Min Ventures LLC or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for personal, non-commercial purposes, subject to these Terms.
The Services may rely on or link to third-party services (including Stripe for payments, Google for authentication, and cloud infrastructure providers). Your use of those third-party services is governed by their own terms and privacy policies. We are not responsible for third-party services.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR AVAILABILITY. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL MAX MIN VENTURES LLC, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. OUR AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS.
You agree to defend, indemnify, and hold harmless Max Min Ventures LLC and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Services or your breach of these Terms.
We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including breach of these Terms. Upon termination, your right to use the Services will cease immediately. Sections that by their nature should survive termination (including disclaimers, limitations of liability, and indemnification) will survive.
We may update these Terms from time to time. The updated version will be indicated by an updated "Last updated" date. Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Allegheny County, Pennsylvania.
